Agreement to Terms
These Terms and Conditions ("Terms") govern access to and use of Fleet Vision, a fleet tracking and management platform operated by Hyperthings ("we", "us", or "our"). The Service includes our web application, APIs, mobile interfaces, and related tools (collectively, the "Service").
By creating an account, signing in, or otherwise using the Service, you agree to these Terms on behalf of yourself and, where applicable, the organization you represent ("Customer"). If you do not agree, you must not use the Service.

Customer Responsibilities
Your organization is responsible for configuring users, roles, and data retention settings; ensuring devices are properly installed and maintained; and complying with applicable laws regarding employee monitoring, driver privacy, telematics consent, and road safety regulations.
You are responsible for all activity under accounts provisioned to your organization, including actions by administrators, dispatchers, drivers, and other authorized users.
Fleet Data and Location Services
The Service processes GPS, telematics, and operational data submitted by devices and integrations connected to your account. Accuracy and availability depend on hardware, connectivity, third-party networks, and environmental factors. Hyperthings does not guarantee uninterrupted or error-free location data.
You acknowledge that location and safety alerts are informational tools and do not replace driver judgment, organizational policies, or compliance programs.
Intellectual Property
Hyperthings and its licensors retain all rights in the Service, including software, documentation, branding, and underlying technology. These Terms do not grant ownership of the Service or any Hyperthings intellectual property.
Customer retains ownership of its fleet and operational data submitted to the Service, subject to the license below.
License to Customer Data
You grant Hyperthings a limited license to host, process, transmit, and display Customer data as necessary to provide, secure, maintain, and improve the Service, and to comply with legal obligations. This license ends when data is deleted in accordance with retention settings and applicable law, except where retention is required for backup, audit, or legal purposes.
Service Availability and Changes
We may update, modify, suspend, or discontinue features with reasonable notice where practicable. Planned maintenance, third-party outages, or force majeure events may affect availability. Hyperthings will use commercially reasonable efforts to maintain Service reliability.
Fees and Subscriptions
If your organization is on a paid plan, fees, billing cycles, and payment terms are defined in the applicable order form or subscription agreement. Failure to pay may result in suspension or termination of access.
Confidentiality
Each party may receive non-public information from the other. Both parties agree to protect confidential information using reasonable care and to use it only for purposes related to the Service, except as required by law.
Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Hyperthings disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or free from errors.
Limitation of Liability
To the fullest extent permitted by law, Hyperthings will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from use of the Service.
Hyperthings' total liability for claims relating to the Service will not exceed the fees paid by Customer to Hyperthings for the Service in the twelve (12) months preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100) if no fees were paid, whichever is greater.
Indemnification
Customer agrees to indemnify and hold harmless Hyperthings from claims, damages, and expenses arising from Customer's misuse of the Service, violation of these Terms, or infringement of third-party rights, except to the extent caused by Hyperthings' gross negligence or willful misconduct.
Suspension and Termination
We may suspend or terminate access if you violate these Terms, pose a security risk, or fail to meet payment obligations. Customer may terminate use according to its subscription agreement. Upon termination, access may be disabled and data handled per retention policies and contractual obligations.
Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Disputes will be subject to the exclusive jurisdiction of courts located in Bengaluru, Karnataka, unless otherwise agreed in writing between the parties.
Changes to These Terms
We may revise these Terms from time to time. The "Last updated" date above indicates when changes were last made. Continued use of the Service after updates become effective constitutes acceptance of the revised Terms, unless applicable law requires additional consent.
